These Terms & Conditions ("Terms") govern your access to and use of the Netzy.ai website at https://netzy.ai and related services (collectively, the "Service") provided by Netzy.ai ("Netzy", "we", "us", or "our").

By accessing or using the Service, including joining the waitlist or interacting with Netzy AI assistants, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

The Service is intended for professional users who are able to form a binding contract under applicable law. By using the Service, you represent that you are at least the age of majority in your jurisdiction and have the authority to enter into these Terms.

2. Description of the Service

Netzy.ai provides AI-powered networking assistance through a team of specialized AI agents that help you identify decision-makers, discover opportunities, nurture relationships, manage travel networking, craft content strategies, and create valuable connections within your network.

Features may include, but are not limited to:

  • Opportunity discovery and ICP-based outreach suggestions.
  • Relationship nurturing and reminders for follow-ups, important dates, and meaningful touchpoints.
  • Travel-based networking suggestions and meeting recommendations.
  • Content strategy guidance to build thought leadership.
  • Superconnector recommendations to introduce contacts who may benefit from knowing each other.
  • Daily networking actions delivered via channels such as WhatsApp.

Certain features may be in limited or early access (e.g., waitlist, alumni cohorts, discounts) and may change over time.

3. Account Registration and Waitlist

To access some or all of the Service, you may be required to join a waitlist, create an account, or sign in using third-party providers such as LinkedIn or other sign-in options.

You agree to provide accurate and complete information and to keep your details up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Use of the Service

You agree to use the Service only for lawful purposes and to:

  • Comply with all applicable laws and regulations, including those related to privacy, anti-spam, and professional conduct.
  • Provide accurate information about your profile, preferences, and professional relationships.
  • Review and approve outbound communications or introductions generated by Netzy AI agents before they are sent, where applicable.
  • Not use the Service to harass, abuse, or spam other individuals or organizations.
  • Not reverse engineer, decompile, or attempt to access the underlying source code or models except as allowed by law.
  • Not interfere with or disrupt the operation or security of the Service.

5. User Content and Responsibility

You may provide data, text, preferences, or other content ("User Content") to enable the Service.

You are responsible for:

  • Ensuring you have the necessary rights and permissions to share User Content with Netzy and to authorize the Service to use it as described in these Terms and the Privacy Policy.
  • The accuracy, legality, and appropriateness of your User Content and any communications sent using the Service.

By providing User Content, you grant Netzy a worldwide, non-exclusive, royalty-free license to use, host, store, process, and display such content as necessary to provide and improve the Service, subject to the Privacy Policy.

6. AI-Generated Suggestions and No Guarantees

Netzy AI agents provide suggestions, draft messages, and recommendations to support your networking activities, but you remain solely responsible for your decisions and actions.

We do not guarantee that any specific opportunity, connection, outcome, or career advancement will result from your use of the Service, even if example metrics (such as reduced networking effort or increased opportunities) are described in marketing content.

7. Fees, Discounts, and Early Access

Some parts of the Service may be offered on a paid basis, including promotional offers such as early access discounts (for example, 50% off the first year) or limited cohort access.

Pricing, billing terms, and eligibility for offers will be communicated separately and may be updated from time to time. Continued use of paid features after changes take effect constitutes acceptance of the new terms.

8. Intellectual Property

The Service, including the Netzy.ai name, logo, design, content, AI agents, and all related intellectual property, is owned or licensed by Netzy and is protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part thereof.

9. Third-Party Services and Links

The Service may integrate with or provide links to third-party services, such as LinkedIn, communication tools, calendar providers, or other platforms.

Your use of such third-party services is subject to their own terms and policies, and Netzy is not responsible for their content, actions, or practices.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by law, Netzy disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Netzy does not warrant that the Service will be uninterrupted, secure, or free of errors, nor that the suggestions and content generated by AI agents will be accurate, complete, or suitable for your specific needs.

11. Limitation of Liability

To the fullest extent permitted by law, Netzy and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service.

In no event will Netzy's total liability for all claims relating to the Service exceed the amount you have paid to Netzy for the Service in the twelve (12) months preceding the event giving rise to the claim (or, if you have not paid, zero).

12. Indemnification

You agree to indemnify, defend, and hold harmless Netzy and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service.
  • Your User Content or communications.
  • Your violation of these Terms or applicable law.

13. Termination

Netzy may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, pose a risk, or for any other business reason.

Upon termination, your right to use the Service will cease immediately, but provisions that by their nature should survive termination (such as intellectual property, disclaimers, and limitations of liability) will continue to apply.

14. Changes to the Service and Terms

We may modify or discontinue parts of the Service at any time, including features offered during early access or waitlist phases.

We may also update these Terms periodically. When we do, we will update the "Last updated" date and may provide additional notice as required by law. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws applicable in the jurisdiction in which Netzy is established, without regard to conflict of law principles. The specific governing law and venue may be further defined in a separate agreement or updated in future versions of these Terms.

Any disputes arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of such jurisdiction, unless applicable law requires otherwise.

16. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
